Ecommerce Alliance AG: Expansion through majority takeover in the smartphone sector

Munich, 01.03.2013 – Ecommerce Alliance AG (ISIN DE000A1C9YW6 / WKN A1C9YW), listed on the Entry Standard of the Frankfurt stock exchange, announced its entry into the smartphone and tablet segment. The e-commerce specialist is undertaking a majority takeover of waptelecom GmbH from Trier, as well as its subsidiary companies axxamo, getmobile and getsmart.

The purchase price is being settled through the issue of 519,413 new shares in Ecommerce Alliance AG, within the framework of a capital increase in kind from authorised capital under subscription right exclusion. Yesterday the board of directors therefore resolved, with the agreement of the supervisory board, to increase the company's share capital by EUR 519,413 from EUR 1,558,242 to EUR 2,077,655 through the issue of 519,413 new shares against contributions in kind.

Thereby, Ecommerce Alliance AG becomes the majority shareholder of wap-telecom GmbH, a profitable mobile phone distributor that has been conducting its business with success since 1999, and which possesses many years of industry knowledge and a superb manufacturer network. In the financial year 2012, wap-telecom GmbH recorded sales volumes of over 130 million Euro.

axxamo GmbH, which positions itself as "Your Smartphone Shop on the Web“ and runs TV campaigns for new customer acquisitions on the free TV channels of the ProSiebenSat1 Group, has enjoyed a promising start. Established back in 1999 as the first online mobile phone shop in Germany, today getmobile GmbH - as an online expert in mobile communications - focuses on the market of internet-savvy Smartphone shoppers. The online providers axxamo and getmobile guarantee direct end customer access in the smartphone/tablet and mobile phone contract segment, and expand the portfolio of Ecommerce Alliance AG in the e-commerce sector.

The E-Plus prepaid provider getsmart, established only recently, completes the mobile product range with the inclusion of tariff components and ensures a comprehensive portfolio. As a fulfilment provider in the B2B sector, getsmart enables renowned companies to introduce their own prepaid mobile phone cards with brand-specific additional Services.
